By accessing or using Toppro ("Service", "Platform", "App"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, you may not access the Service.

2. Description of Service

Toppro is a marketplace platform that connects property owners with service professionals. The Platform allows:

  • Property owners to post service requests and hire professionals
  • Service providers to create profiles, browse job opportunities, and connect with clients
  • Real-time messaging between parties
  • Payment processing for connection fees

3. User Accounts

3.1 Account Types

The Platform supports two account types:

  • Property Owner: Users who post jobs and hire service providers
  • Service Provider: Verified professionals who offer services

3.2 Account Registration

  • You must provide accurate, current, and complete information
  • You are responsible for maintaining the confidentiality of your account
  • You must be at least 18 years old to use this Service
  • You may not use another person's account without permission

3.3 Account Security

  • You are responsible for all activities under your account
  • Notify us immediately of any unauthorized use
  • We are not liable for any loss resulting from unauthorized account use

4. User Responsibilities

4.1 Property Owners

  • Provide accurate job descriptions and requirements
  • Communicate professionally with service providers
  • Pay applicable connection fees before accessing provider contact information
  • Honor agreements made through the Platform

4.2 Service Providers

  • Maintain complete and accurate profile information
  • Only offer services you are qualified and licensed to perform
  • Pay connection fees to contact property owners
  • Respond professionally to inquiries
  • Complete work as agreed upon with clients

4.3 Prohibited Conduct

Users may not:

  • Post false, misleading, or fraudulent information
  • Impersonate any person or entity
  • Share contact information to circumvent platform fees
  • Harass, abuse, or harm other users
  • Use the Platform for illegal purposes
  • Scrape, data mine, or extract data from the Platform
  • Interfere with the Platform's operation or security
  • Upload viruses, malware, or malicious code

5. Connection Fees

5.1 Fee Structure

  • Service providers pay a connection fee ($15–$100) to contact property owners
  • Fees are determined dynamically based on job characteristics
  • All fees are clearly displayed before payment
  • Fees are non-refundable once contact information is revealed

5.2 Payment Processing

  • Payments are processed securely through Square
  • You authorize us to charge your payment method
  • All fees are in USD unless otherwise specified

5.3 No Success Guarantee

  • Connection fees grant access to contact information only
  • We do not guarantee job awards, responses, or business success
  • Fees are for platform access, not service completion

6. Content

6.1 User Content

  • You retain ownership of content you post
  • You grant Toppro a worldwide, non-exclusive, royalty-free license to use, display, and distribute your content on the Platform
  • You represent that you have all necessary rights to post your content

6.2 Content Standards

All content must:

  • Be accurate and truthful
  • Not violate any laws or third-party rights
  • Not contain personal contact information in job descriptions (before payment)
  • Not include offensive, discriminatory, or inappropriate material

6.3 Content Moderation

We reserve the right to:

  • Remove or modify content that violates these Terms
  • Suspend or terminate accounts for violations
  • Monitor content for security and quality purposes

7. Privacy and Data Protection

Your use of the Service is also governed by our Privacy Policy. By using Toppro, you consent to our collection and use of personal data as outlined in our Privacy Policy.

8. Intellectual Property

8.1 Platform Ownership

  • Toppro owns all rights to the Platform, including design, code, and branding
  • Our trademarks, logos, and service marks are protected
  • You may not use our intellectual property without permission

8.2 User License

We grant you a limited, non-exclusive, non-transferable license to access and use the Platform for its intended purpose.

9. Third-Party Services

The Platform integrates with third-party services:

  • Square: Payment processing
  • LocationIQ: Address autocomplete and geocoding

Your use of these services is subject to their respective terms and privacy policies.

10. Disclaimers

10.1 Platform "As Is"

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED.

10.2 No Employment Relationship

  • Toppro is a marketplace platform only
  • We do not employ service providers
  • We are not responsible for the quality, legality, or safety of services performed
  • Users contract directly with each other

10.3 No Verification Guarantee

While we implement security measures:

  • We do not conduct background checks on all users
  • We do not verify licenses, insurance, or qualifications
  • Users must perform their own due diligence

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

  • Toppro shall not be liable for indirect, incidental, special, consequential, or punitive damages
  • Our total liability shall not exceed the fees you paid in the past 12 months
  • We are not liable for disputes between users

12. Indemnification

You agree to indemnify and hold harmless Toppro, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses arising from your use of the Service, violations of these Terms, or content you post.

13. Dispute Resolution

13.1 Governing Law

These Terms are governed by the laws of the United States, without regard to conflict of law principles.

13.2 Arbitration

Any disputes shall be resolved through binding arbitration, except for small claims court matters, intellectual property disputes, and injunctive relief requests.

13.3 Class Action Waiver

You agree to resolve disputes individually, not as part of any class, consolidated, or representative action.

14. Termination

14.1 Termination by You

You may terminate your account at any time by contacting support.

14.2 Termination by Us

We may suspend or terminate your account if you violate these Terms, engage in fraudulent activity, or we are required by law.

14.3 Effect of Termination

  • Your right to access the Platform ceases immediately
  • We may delete your data after a reasonable retention period
  • Provisions that should survive termination remain in effect

15. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify users of material changes via email or Platform notification and post the updated Terms with a new "Last Updated" date. Your continued use constitutes acceptance of modified Terms.
